Falcon Services — Q1 2026 Monitoring Memo
==============================================================================
Period: 2026-Q1 Status: final

NARRATIVE
------------------------------------------------------------------------------
Falcon Services delivered LTM Q1 2026 revenue of approximately $228.4M and adjusted EBITDA of $42.5M against the May 2024 underwriting base case. All §7.13 covenants remain in compliance — leverage 4.78x against the 5.25x cap (0.47 turns of cushion, down from 1.21 at LTM start), FCCR 1.35x against the 1.25x floor (0.10 turns), liquidity $18.4M against the $12.5M minimum. The trajectory is the dominant signal: leverage and FCCR cushion have compressed three consecutive quarters in the same vector, driven by the operating-lease step-up from the two Q4 2025 facility openings (Charlotte and Phoenix) and the Tranche B interest run-rate ahead of the April 2026 reset. Working-capital absorption from DSO expansion (47 → 58 days) is compounding rather than offsetting the trend. Recommend moving to 30-day covenant-forecast refresh cadence and requesting a sponsor call on the deleveraging path before the Q2 close.

INVESTMENT THESIS AT ENTRY (MAY 2024)
------------------------------------------------------------------------------
Sponsor thesis was platform consolidation in tech-enabled field services with operating leverage on hub footprint and a 200-300bp margin expansion path. Top-3 customer concentration was 31%; entry leverage 3.99x with 1.21 turns of cushion. The thesis is intact at the platform level but the cushion margin has narrowed materially.

COVENANT TRAJECTORY
------------------------------------------------------------------------------
Total Net Leverage: 4.04x (Q3 25) → 4.31x (Q4 25) → 4.78x (Q1 26). FCCR: 1.81x → 1.58x → 1.35x. Liquidity: comfortably above floor. The base case shows continued compression through Q3 absent counter-measures.

CUSTOMER CONCENTRATION DRIFT
------------------------------------------------------------------------------
Top-3 = 48% (vs 31% at entry). Customer A alone is 24%, growing through organic scope expansion under the existing MSA. The MSA expires November 30, 2027 with no auto-renewal — the renewal is a singular hold-period event.

CFO TRANSITION — Q1 DISCLOSURE QUALITY
------------------------------------------------------------------------------
First Q1 cert under new CFO Daniel Whitfield (effective 2026-01-22). Two restated figures vs the preliminary close pack are disclosed on the certificate; methodological, not substantive. Restatement pattern is worth monitoring but not yet a credit signal.

RECOMMENDED ACTIONS
------------------------------------------------------------------------------
(1) 30-day covenant-forecast refresh; (2) sponsor call on deleveraging path before Q2 close; (3) re-baseline DSO assumption against last three quarters actual; (4) Customer A renewal-strategy update at Q2 board meeting.

RECOMMENDATION
------------------------------------------------------------------------------
Hold — move to 30-day covenant refresh cadence; sponsor call before Q2.
